1. Agreement to Terms

Welcome to TSDB.ai. These Terms of Service ("Terms") govern your access to and use of our AI-native time series database platform, website, and related services (collectively, the "Service") provided by TSDB.ai ("we," "our," or "us").

By creating an account or using our Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.

2. Eligibility

You must be at least 18 years old and capable of forming a binding contract to use our Service. By using the Service, you represent and warrant that you meet these eligibility requirements.

If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

3. Account Registration

To access certain features, you must create an account. You agree to:

  • Provide accurate and complete information
  • Keep your account credentials secure
  • Notify us immediately of any unauthorized access
  • Accept responsibility for all activities under your account

We reserve the right to suspend or terminate accounts that violate these Terms.

4. Service Description

TSDB.ai provides an AI-powered time series database platform that includes:

  • Managed time series database instances
  • Integration with external data sources (e.g., Prometheus)
  • AI-powered natural language querying and visualization
  • Dashboard creation and sharing capabilities
  • Team collaboration features

5. Subscription Plans and Billing

5.1 Free Tier

We offer a free tier with limited features and AI credits. Free tier limitations may change at our discretion.

5.2 Paid Subscriptions

Paid plans (Individual, Pro, Corporate) provide additional features and AI credits. By subscribing:

  • You authorize us to charge your payment method on a recurring basis
  • Subscriptions automatically renew unless cancelled
  • You can cancel anytime through your account settings or Stripe customer portal
  • Cancellation takes effect at the end of the current billing period

5.3 AI Credits

AI credits are consumed when using AI-powered features. Monthly credits reset on the first of each month. Purchased credit bundles do not expire.

5.4 Refunds

Subscription fees are generally non-refundable. We may consider refund requests on a case-by-case basis. Contact support for assistance.

5.5 Payment Failures

If payment fails, we will attempt to notify you. If payment issues are not resolved within 60 days, your account may be downgraded and data may be deleted.

6. Acceptable Use

You agree not to:

  • Violate any applicable laws or regulations
  • Infringe on intellectual property rights of others
  • Upload malicious code, viruses, or harmful content
  • Attempt to gain unauthorized access to our systems
  • Use the Service for illegal activities or fraud
  • Interfere with or disrupt the Service or servers
  • Reverse engineer or attempt to extract source code
  • Resell or redistribute the Service without authorization
  • Use the Service to store or transmit sensitive personal data (PHI, SSN, etc.) without appropriate safeguards
  • Abuse AI features to generate harmful, illegal, or inappropriate content

7. Your Data

7.1 Ownership

You retain ownership of any data you upload to the Service ("Your Data"). You grant us a limited license to process Your Data solely to provide the Service.

7.2 Data Retention

We provide up to 1 year of free data retention for active accounts. Inactive or delinquent accounts may have data deleted after notice periods described in these Terms.

7.3 Data Export

You may export Your Data at any time through available export features or by contacting support.

7.4 Backups

While we maintain backups, you are responsible for maintaining your own backup copies of critical data.

8. Intellectual Property

The Service, including its original content, features, and functionality, is owned by TSDB.ai and protected by copyright, trademark, and other intellectual property laws. Our trademarks may not be used without prior written consent.

9. Third-Party Services

The Service may integrate with or contain links to third-party services (e.g., Prometheus, cloud providers, AI providers). We are not responsible for the content, privacy policies, or practices of third-party services. Your use of third-party services is at your own risk.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

We do not warrant that the Service will be uninterrupted, error-free, secure, or free of viruses or other harmful components.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TSDB.AI AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNTS PAID BY YOU TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

12. Indemnification

You agree to indemnify and hold harmless TSDB.ai and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any third-party rights
  • Your Data or content you provide through the Service

13. Service Modifications

We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice. We will make reasonable efforts to notify you of material changes that affect your use of the Service.

14. Termination

We may terminate or suspend your access to the Service immediately, without prior notice, for any reason, including if you breach these Terms. Upon termination:

  • Your right to use the Service ceases immediately
  • We may delete Your Data after a reasonable period
  • Provisions that by their nature should survive will remain in effect

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any disputes arising from these Terms shall be resolved in the courts located in Delaware.

16. Dispute Resolution

Before filing any legal claim, you agree to first contact us to attempt to resolve the dispute informally. Most disputes can be resolved quickly through good-faith discussions.

17. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on our website and updating the "Last Updated" date. Your continued use of the Service after changes constitutes acceptance of the new Terms.

18. General Provisions

  • Entire Agreement: These Terms constitute the entire agreement between you and TSDB.ai regarding the Service.
  • Waiver: Our failure to enforce any right or provision does not constitute a waiver.
  • Severability: If any provision is found unenforceable, the remaining provisions remain in effect.
  • Assignment: You may not assign your rights under these Terms without our consent. We may assign our rights freely.
